The parties wish to explore a potential business relationship and, in connection with that exploration, LexCrypta may disclose certain Confidential Information to the Recipient. This Agreement governs the use and protection of that information.
"Confidential Information" means any non-public information disclosed by LexCrypta to the Recipient, whether oral, written, or in electronic form, including but not limited to:

This Agreement shall remain in effect for a period of three (3) years from the Effective Date. Obligations with respect to trade secrets shall survive indefinitely.
Upon LexCrypta's written request, the Recipient shall promptly return or destroy all Confidential Information and certify such destruction in writing.
Nothing in this Agreement grants the Recipient any licence, right, title, or interest in or to the Confidential Information or any intellectual property of LexCrypta.
The parties agree that electronic execution of this Agreement — including typed name, captured timestamp, and geo-location data — constitutes a valid, legally binding signature for all purposes. The electronic record of this signature shall be retained by LexCrypta and is admissible as evidence of the Recipient's agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Michigan.
